These terms of use (hereinafter referred to as "the Terms") stipulate the terms of use for the screening-based password distribution service (hereinafter referred to as "the Service") provided on this website by LISTA FELIZ Co., Ltd. Article 1 (Application)
These Terms and Conditions shall apply to all relationships between the User and our company regarding the use of this Service.
In addition to these Terms, the Company may make various provisions regarding the Service, such as rules for use (hereinafter referred to as "Individual Provisions"). Regardless of their name, these Individual Provisions shall constitute part of these Terms.
In the event that the provisions of these Terms and Conditions conflict with the provisions of the Individual Provisions, the provisions of the Individual Provisions shall take precedence, unless otherwise specified in the Individual Provisions.

Article 2 (Membership application and password distribution)
1. Any person who wishes to use this service (hereinafter referred to as the "Applicant") shall agree to these Terms and Conditions and apply for membership in the manner specified by our company.
2. We will determine whether or not to accept applicants based on our own screening criteria, and distribute passwords to those applicants who we deem qualified. The use contract will be established at the time the password is issued.
3. We may not approve your application for membership if any of the following apply and we are not obligated to disclose the reasons therefor:
1) If false information is provided in the membership application. 2) If the application is from a person who has previously violated these Terms and Conditions. 3) If the Company otherwise determines that the application is inappropriate.

Article 3 (Password Management)
1. Users are responsible for managing their passwords appropriately.
2. Under no circumstances may the User transfer or lend the password to a third party, or share the password with a third party. If the entered password matches the password issued by the Company and the User logs in, the Company will consider that the password is being used by the User to whom it was issued.
3. We shall not be liable for any damages arising from the use of a password by a third party, except in cases where we are guilty of intentional or gross negligence.

Article 4 (Usage Fees and Payment Methods)
1. In consideration of the paid portion of the Service, the User shall pay the usage fee separately determined by the Company and displayed on this website, by the method designated by the Company.
2. If the User delays payment of the service fee, the User shall pay late payment charges at the rate of 14.6% per annum.

Article 5 (Prohibited matters)
When using this service, Users are prohibited from engaging in the following acts.
1. Any act that violates laws, regulations or public order and morals
2. Any acts related to criminal activity
3. Any act of infringing copyrights, trademarks, or other intellectual property rights contained in the Service
4. Any act that disrupts or interferes with the functionality of the servers/networks of our company, other users, or third parties
5. Commercially using information obtained through the Service
6. Any action that may disrupt the operation of our services
7. Unauthorized access or attempted access
8. Collecting or storing personal information about other users
9. Using the Service for any illegal purpose
10. Any action that causes disadvantage, damage, or discomfort to other users of the Service or third parties
11. Impersonating other users
12. Promotion, advertising, solicitation, and sales activities on the Service that are not permitted by our company
13. Actions aimed at meeting members of the opposite sex who you have not met
14. Any act of providing benefits to antisocial forces in relation to our services
15. Any other conduct that the Company deems inappropriate

Article 6 (Suspension of provision of the Service, etc.)

If the Company determines that a User falls under any of the following items, the Company may, without prior notice, restrict the User's use of all or part of the Service or invalidate the User's password.
1. If you violate any of these Terms and Conditions
2. If it is discovered that the registration information is false
3. If there is a default in payment obligations such as fees.
4. If there is no response to our communication for a certain period of time
5. If you have not used the Service for a certain period of time
6. In addition, if the Company determines that use is inappropriate, the Company shall not be liable for any damages incurred by the User as a result of the above measures.

Article 8 (Withdrawal)
Users may cancel their membership of the Service by following the procedures specified by the Company. Even after cancellation, the obligations arising from acts prior to cancellation and the Company's exemption from liability will remain in force.

Article 9 (Disclaimer of Warranties and Disclaimers)
1. We do not guarantee, either expressly or impliedly, that the Service is free from actual or legal defects.
2. The Company shall not be liable for any damages incurred by the User due to the Service, except for cases of the Company's willful misconduct or gross negligence, unless these Terms constitute a consumer contract.
3. Even in the case of the proviso of the preceding paragraph, compensation for damages caused by our negligence (excluding gross negligence) shall be limited to the amount of the usage fee received from the user in the month in which the damage occurred.

Article 10 (Changes to Service Content, etc.)
Our company may change, add, or discontinue the content of this service with prior notice to users, and users agree to this.

Article 14 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or provide as security to a third party their status under the Service Agreement or their rights and obligations under these Terms and Conditions without our prior written consent.

Article 15 (Governing Law and Jurisdiction)
The interpretation of these Terms and Conditions shall be governed by the laws of Japan. In the event of any dispute arising in relation to the Service, the court with jurisdiction over the location of our head office shall be the court of exclusive jurisdiction.
